Broker Referral Agreement

Sign this once before you list a homeowner we introduce to you. It sets out the referral fee, when it is due, and how it is paid broker-to-broker.

The parties

This agreement mirrors the Samson Properties Referral Agreement (sending office / receiving office structure). The sending — referring — side is pre-filled and never changes.

Receiving office: you, the licensed Virginia agent named in the signature block below, and the brokerage you are affiliated with. Referral compensation is paid broker-to-broker to Samson Properties, as Virginia license law requires. A transaction-specific Samson Properties Referral Agreement is signed by both offices for each referral.

Referral fee schedule

The fee is a percentage of the gross listing-side commission your brokerage receives at settlement. It is never charged to the seller or buyer, and nothing is owed unless a transaction closes.

Example: a $750,000 sale at a 2.0% listing commission produces a $15,000 gross commission. The 15% tier applies, so the referral fee is $2,250 and your brokerage keeps $12,750.

1. What VA Home Connect does

VA Home Connect introduces home sellers and buyers to licensed Virginia agents. It is a marketing and matchmaking service. It is not a party to any listing agreement, purchase contract, or brokerage relationship you form with a client, and it does not provide brokerage services to your clients.

2. Your representation of the client

After a seller accepts your proposal, you will enter into a standard Virginia Association of REALTORS® listing or buyer representation agreement with that client through your own brokerage. All duties owed to the client are yours and your brokerage's.

3. When the referral fee is earned

The fee above becomes due at settlement on any sale or lease of an introduced homeowner's property that closes within 12 months of the date that homeowner's contact details were released to you through VA Home Connect — whether the transaction is completed by you, by another licensee at your brokerage, or through a re-listing, and whether or not it is recorded on this platform. Contact releases are time-stamped and logged.

4. Payment

Payment is broker-to-broker: your brokerage remits the fee by check payable to Samson Companies, LLC (dba Samson Properties), attn: Shawn Keehan — VA Home Connect referral, 14291 Park Meadow Drive, Suite 500, Chantilly, VA 20151, within ten (10) business days of settlement. VA Home Connect issues a numbered invoice showing the gross commission, the tier applied, and the amount due when you report the closing, and furnishes the Samson W-9 with it. Please enclose details of the sale with the check, as the Samson Properties Referral Agreement requires.

5. Reporting

You agree to update every accepted proposal in your Deals & Fees tab — under contract, closed (with final sale price and settlement date), or not sold — within five (5) business days of the event. Failing to report does not waive the fee.

6. Verification

On request you will provide the Closing Disclosure, HUD-1, or equivalent settlement document so the fee can be verified. You consent to VA Home Connect confirming transaction status and sale price through MLS records and public real estate records for any property introduced to you through the platform.

7. Late payment

Unpaid balances accrue interest at one and a half percent (1.5%) per month. In any action to collect, you agree to pay VA Home Connect's reasonable attorney's fees and collection costs, whether or not suit is filed. Unpaid fees also result in removal from the platform.

8. Client confidentiality

Contact information released to you may be used only to represent that client. It may not be resold, redistributed, or used for unrelated marketing.

9. Term & termination

Either party may end participation at any time with written notice. Fees on transactions already in progress remain due at closing.

10. Governing law & venue

This agreement is governed by the laws of the Commonwealth of Virginia. Disputes will be resolved in the state courts located in Virginia Beach, Virginia.
